Acceptance of Terms

These Terms of Service (the “Terms”) govern your access to and use of the Exaltis software platform, website, and related services (collectively, the “Services”). By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at support@exaltis.org if you suspect unauthorized access.

Subscriptions and Billing

Paid features of the Services are offered on a subscription basis. Fees, billing intervals, and feature entitlements are described on our pricing page or in your order form. Subscriptions renew automatically until cancelled. Payment is processed through our payment provider, Stripe; by subscribing you also agree to Stripe’s applicable terms.

Acceptable Use

You agree not to (a) use the Services in violation of any applicable law; (b) attempt to interfere with, disrupt, or gain unauthorized access to the Services or related systems; (c) upload malicious code or content; (d) reverse engineer, copy, or create derivative works of the Services except as expressly permitted; or (e) use the Services to send unsolicited communications. We reserve the right to suspend or terminate accounts that violate these Terms.

Customer Data

You retain ownership of the data you submit to the Services (“Customer Data”). You grant Exaltis a worldwide, limited license to host, process, and transmit Customer Data solely as needed to provide the Services. You represent that you have the rights necessary to provide Customer Data to Exaltis.

Intellectual Property

The Services, including the underlying software, designs, and trademarks, are owned by Exaltis and its licensors and are protected by intellectual property laws. Except for the limited right to use the Services in accordance with these Terms, no license is granted, expressly or by implication.

Third-Party Services

The Services may integrate with third-party tools (for example, maps, payments, telephony, or accounting providers). Your use of those services is governed by the third party’s own terms and privacy policies. Exaltis is not responsible for third-party services.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. EXALTIS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXALTIS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF EXALTIS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO EXALTIS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

You agree to defend and indemnify Exaltis against any claim arising from (a) your use of the Services, (b) Customer Data you submit, or (c) your violation of these Terms or applicable law.

Termination

You may cancel your subscription at any time through the billing portal. We may suspend or terminate your access to the Services for material breach of these Terms or for non-payment. Upon termination, your right to use the Services ends; provisions that by their nature should survive termination will do so.

Governing Law

These Terms are governed by the laws of the jurisdiction specified in your order form, without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction of the courts located in that jurisdiction for any dispute arising under these Terms.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Services. Continued use after the effective date of the updated Terms constitutes your acceptance.
